Términos y Condiciones Estándar de Venta

  1. El cliente renuncia expresamente a sus propios términos y condiciones estándar, incluso si estos fueron redactados con posterioridad a los presentes términos y condiciones de venta. Para ser válida, cualquier excepción deberá acordarse expresamente por escrito con anticipación.
  2. Nuestras facturas son pagaderas dentro de los 21 días hábiles siguientes, salvo que se indique otro plazo de pago en la factura o en la orden. En caso de falta de pago en la fecha de vencimiento, FERNANDO VILLASEÑOR GUTIERREZ se reserva el derecho de solicitar el pago de un interés fijo equivalente al 10% del monto pendiente. FERNANDO VILLASEÑOR GUTIERREZ estará autorizado a suspender la prestación de cualquier servicio sin previo aviso en caso de retraso en el pago.
  3. Si un pago permanece pendiente por más de sesenta (60) días después de la fecha de vencimiento, FERNANDO VILLASEÑOR GUTIERREZ se reserva el derecho de recurrir a los servicios de una empresa de cobranza. Todos los gastos legales correrán por cuenta del cliente.
  4. Ciertos países aplican retención en la fuente sobre el monto de las facturas, de acuerdo con su legislación interna. Cualquier retención en la fuente será pagada por el cliente a las autoridades fiscales correspondientes. Bajo ninguna circunstancia FERNANDO VILLASEÑOR GUTIERREZ podrá verse involucrado en costos relacionados con la legislación de un país. El monto de la factura será, por lo tanto, adeudado a FERNANDO VILLASEÑOR GUTIERREZ en su totalidad y no incluye ningún costo relacionado con la legislación del país en el que se ubique el cliente.
  5. FERNANDO VILLASEÑOR GUTIERREZ se compromete a hacer su mejor esfuerzo para prestar servicios de calidad dentro de los plazos acordados. Sin embargo, ninguna de sus obligaciones podrá considerarse como una obligación de resultado. FERNANDO VILLASEÑOR GUTIERREZ no podrá, bajo ninguna circunstancia, ser requerido por el cliente para comparecer como tercero en el contexto de cualquier reclamación por daños presentada en contra del cliente por un consumidor final.
  6. Para que sea admisible, FERNANDO VILLASEÑOR GUTIERREZ deberá ser notificado de cualquier reclamación mediante una carta enviada por correo certificado a su domicilio social dentro de los 8 días siguientes a la entrega de los bienes o a la prestación de los servicios.
  7. Todas nuestras relaciones contractuales se regirán exclusivamente por las leyes de México.

Standard Terms and Conditions of Sale

  1. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing.
  2. Our invoices are payable within 21 working days, unless another payment timeframe is indicated on either the invoice or the order. In the event of non-payment by the due date, FERNANDO VILLASEÑOR GUTIERREZ reserves the right to request a fixed interest payment amounting to 10% of the sum remaining due. FERNANDO VILLASEÑOR GUTIERREZ will be authorized to suspend any provision of services without prior warning in the event of late payment.
  3. If a payment is still outstanding more than sixty (60) days after the due payment date, FERNANDO VILLASEÑOR GUTIERREZ reserves the right to call on the services of a debt recovery company. All legal expenses will be payable by the client.
  4. Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation. Any withholding at source will be paid by the client to the tax authorities. Under no circumstances can FERNANDO VILLASEÑOR GUTIERREZ become involved in costs related to a country's legislation. The amount of the invoice will therefore be due to FERNANDO VILLASEÑOR GUTIERREZ in its entirety and does not include any costs relating to the legislation of the country in which the client is located.
  5. FERNANDO VILLASEÑOR GUTIERREZ undertakes to do its best to supply performant services in due time in accordance with the agreed timeframes. However, none of its obligations can be considered as being an obligation to achieve results. FERNANDO VILLASEÑOR GUTIERREZ cannot under any circumstances be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.
  6. In order for it to be admissible, FERNANDO VILLASEÑOR GUTIERREZ must be notified of any claim by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.
  7. All our contractual relations will be governed exclusively by the laws of Mexico.
